1) Subject matter and scope of business

Vality One Recruitment GmbH (hereinafter referred to as "Vality One") provides the following services within the scope of its business activities:

  • The provision of freelance services under service contracts (also referred to as "interim management"), which independent freelance subcontractors provide,
  • The placement of independent consultants on a commission basis, and
  • The placement of permanent employees on a commission basis.

To provide services, Vality One will introduce or recommend consultants for engagement in service contracts and candidates for permanent positions (hereinafter collectively referred to as „candidates" or „applicants") to the client by sharing personal data.

These terms and conditions govern the entire business relationship between Vality One and its clients, unless specified otherwise in individual contracts.

2) Confidentiality of applicant data

All data and information transmitted to the client, including but not limited to resumes, profiles, and contact details—hereinafter called "candidate data"—as part of the assignment or for initiating it must be kept confidential and cannot be shared with third parties. This also includes all information provided by Vality One that helps the client identify the candidate.

3) Provision of services under a service contract ("interim management") and placement of independent consultants on a commission basis.

If, within twelve months after presenting a candidate, the client hires the candidate or a related person or affiliated company (as defined in Section 15 of the German Stock Corporation Act (AktG)) on an independent base (“contractor”), Vality One shall be entitled to a commission fee according to the following rules. This also applies if the candidate is hired through an independent third party (e.g., another staffing provider) for whom the candidate works.

If a freelance consultant working for the Client via Vality One is taken on as a permanent employee during the project or within twelve months after the project ended, a commission is due in accordance with these Terms and Conditions.

Amount of the commission fee

The commission fee will be 35% of the total compensation paid to the candidate, excluding any applicable VAT. "Total Compensation" refers to all compensation paid to the Consultant or an independent third party (in the course of an indirect engagement) and includes all special payments, commissions, bonuses, and similar earnings.

The client shall notify Vality One of the total compensation paid or expected to be paid each month by the 15th calendar day of the following month. Vality One will then charge a monthly placement commission fee based on the total compensation paid in the previous month.

4) Placement of permanent employees on a commission basis

The client commits to paying a commission fee to Vality One if an employment contract is concluded between the client and the candidate recommended by Vality One. Likewise, a commission is payable for taking on freelancers in permanent positions.

If, within twelve months after Vality One's recommendation of a candidate, a verbal or written, direct or indirect employment contract is formed between the client and that candidate, the parties agree that the employment contract was established solely as a result of Vality One's recommendation. The parties also agree that in such a case, Vality One shall be entitled to a commission according to the provisions of these terms and conditions.

Double application

If a candidate recommended by Vality One has applied to the client within the last six months independently of the recommendation by Vality One or has been introduced by a third party, the client must inform Vality One of this before the interview process begins. In such cases, Vality One will not provide any further services regarding that candidate. However, the client may request Vality One to continue working with respect to this candidate as well. If this candidate is hired, the commission fee will be payable according to this contract. If it is unclear or disputed how the client initially learned about the candidate, the client must, upon Vality One's request, provide appropriate supporting documentation within 28 days.

Termination of the employment contract within the first eight weeks

If the employment contract between the client and the recommended candidate is terminated within eight weeks after the candidate starts working for the client due to a reason related to the person's character or behavior, Vality One will refund the client one-eighth of the paid commission fee for each full week during this period when the candidate is not working for the client. The client will lose their right to this refund if they do not notify Vality One of the termination within seven days or fail to meet any payment deadline they are responsible for.

Commission fee

The commission fee is a percentage of the candidate's expected gross annual compensation. This includes the guaranteed annual gross pay plus performance-related and non-performance-related benefits such as bonuses, premiums, vehicle allowances, commissions, share packages, and any other benefits granted to the candidate.

The commission fee is 35%, with a minimum net fee of EUR 17,500.

The entitlement to a commission fee arises when the employment contract between the client and the candidate is concluded. The client agrees to inform Vality One immediately about the signing of the employment contract and the expected gross annual salary. If there is a subsequent difference between the actual gross annual salary and the expected one, the client must inform Vality One, and the commission fee will be adjusted accordingly. A reduction in the commission due to premature or unplanned termination of the placed candidate is not allowed (except for the pro-rata refund within the first eight weeks). Upon request, the client must provide appropriate records and information to verify the expected or actual annual gross salary.

5) Commercial conditions

All amounts are quoted excluding VAT and must be paid within 14 days of the invoice date without deduction. If the client is in default, Vality One is entitled to interest on late payments according to legal regulations. Vality One expressly reserves the right to claim additional damages caused by delayed payment.

6) Other

These terms and conditions are governed by German law. The jurisdiction is Munich. However, Vality One has the right to sue either at the client's business location or where the employee or freelancer is assigned. The application of German conflict of laws is excluded.

All personal terms are used equally for all genders.
